Terms of service

These terms are an agreement between you (“Customer”) and Samarkand Industries OÜ, an Estonian private limited company (registry code 17492007, registered office Narva mnt 5, 10117 Tallinn, Estonia), the operator of the Estøkad platform (“Estøkad”, “we”, “us”). By signing up, paying, or using Estøkad, you accept these terms.
1. The service
Estøkad is a sovereign-by-design headless content management system. We host your content in the European region you choose, expose it through REST and GraphQL APIs, and provide an editor surface (the Studio) for your team. Modules and presets are described on /pricing and form part of these terms by reference.
2. Your account
You must be 18 or older and able to enter a binding contract. You are responsible for the accuracy of the email and billing details you provide, and for safeguarding the credentials of your team. Promptly notify security@samarkandindustries.com of any suspected unauthorised access.
3. Fees and payment
Subscriptions are monthly, in EUR, charged in advance via Stripe. Usage-based meters (additional editors, API requests, content entries) bill in arrears. All prices are listed on the pricing page exclusive of VAT; VAT is applied where applicable per the customer’s billing country and B2B/B2C status.
Late payments may suspend access after a 14-day grace period. Reactivation is automatic on successful payment. You can cancel any time from /settings/billing; cancellation takes effect at the end of the current billing period.
4. Acceptable use
Your use of Estøkad must comply with our Acceptable Use Policy and all applicable laws. We may suspend a workspace that violates the AUP after written notice (or immediately for malware, illegal content, or threats to platform integrity).
5. Customer data
You own all data you submit to Estøkad. We process it as your processor under the Data Processing Addendum, in the region you chose, in accordance with the GDPR. We do not access your customer content except to provide the service or as required by EU law.
6. Intellectual property
Estøkad, the Estøkad logo, and the wordmark estøkad are trademarks of Samarkand Industries OÜ. We grant you a non-exclusive, non-transferable, revocable licence to use the platform for the duration of your subscription. We retain all rights, title, and interest in the platform and its source code.
7. Confidentiality
Each party will keep confidential all non-public information disclosed by the other in connection with this agreement. The obligation survives termination by 5 years.
8. Warranties and disclaimers
We provide the service with reasonable care and skill. Beyond that, the service is provided “as is” to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose beyond the SLAs published in your subscription tier.
9. Limitation of liability
To the maximum extent permitted by Estonian law, our aggregate liability under or in connection with this agreement is capped at the fees paid by you in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, consequential, or special damages, or loss of profit or revenue, regardless of the legal theory.
10. Indemnification
You will indemnify and hold harmless Samarkand against third-party claims arising from your customer data, your use of the platform in breach of these terms, or your violation of applicable law.
11. Term and termination
These terms apply for the duration of your subscription. Either party may terminate for material breach not cured within 30 days of written notice. On termination, you have 90 days to export your data via the exit plan; after that, we delete it from production systems and the next backup rotation purges it from cold storage.
12. Force majeure
Neither party is liable for delays caused by events beyond reasonable control, including infrastructure failures of upstream cloud providers, internet outages, war, civil unrest, labour disputes, or natural disasters. Affected obligations are suspended for the duration of the event; payment obligations are not.
13. Changes
We may update these terms. Material changes are announced at least 30 days in advance to the workspace owner via email. Continued use after the effective date constitutes acceptance.
14. Governing law and jurisdiction
These terms are governed by Estonian law. Disputes are subject to the exclusive jurisdiction of the Harju County Court (Harju Maakohus), Tallinn, Estonia. Either party may seek interim relief in any competent court for urgent matters.
